  • Course Description: Partnerships have a unique set of rules starting with formation, through operations, and taxation issues. In this course we will cover Sec. 721, regarding the contribution of cash and assets on formation of the partnership; establishing the basis of a partnership interest; treatment of debt and the pass-through taxation of a partnership interest. We will review Sec. 199A "qualified business income" attributes and finally the issue of the Forms K-2 and K-3.

    Learning Objectives: At the completion of the course, the participants will understand the valuation and accounting for Sec. 721 contribution of capital, what creates debt in a partnership business entity, the characteristics of the pass-through income, the elements considered in the calculation of Sec. 199A adjustment; and when Form K-2 and K-3 are required to be provided with the partnership tax return and to the partners.
